Change in Share Capital

Rome, Paris 18 January 2024 – Iervolino and Lady Bacardi Entertainment S.p.A. (“ILBE” or “the Company”) – a company active in the production of film and television content (Euronext Growth Milan – IT0005380602 -IE and Euronext Growth Paris -IT0005380602 – ALIE), announces that, in relation to the capital increase approved on November 29, 2023, by the Board of Directors of ILBE – pursuant to a specific mandate granted by the Extraordinary Shareholders’ Meeting of the Company – reserved for Mr. Gian Luca Voulaz and paid in kind through the contribution of a stake equal to 24% of the share capital of SoBe Sport S.r.l. (“Capital Increase”), after thirty days from the registration of the Capital Increase resolution in the Business Register, today the certification of the successful execution of the Capital Increase has been filed with the Business Register in accordance with art. 2444 of the Civil Code, attached to the administrators’ statement required by art. 2343-quater, paragraph 3, letter d), of the Civil Code.

Considering the execution of the Capital Increase, the new composition of the Company’s share capital (fully subscribed and paid) is hereby communicated, as detailed on the Company’s website in the Investor > Info for Shareholders section.
