Following to the agreement with Intesa Sanpaolo, the redefinition with Unicredit and CDP of financial covenant parameters for the
bond loan also concludes successfully

Rome, February 5 th, 2024 – ILBE (Iervolino and Lady Bacardi Entertainment) – a company active in the production of film and television content (Euronext Growth Milan – IT0005380602 – IE and Euronext Growth Paris – IT0005380602 – ALIE) – announces that it has
received confirmation from Unicredit S.p.A. and Cassa Depositi e Prestiti (CDP) regarding the approved modification of covenants for the “Basket bond di filiera 2021-2028” originally issued for eur 10.000.000.

Following to the positive redefinition in December 2023 with Intesa Sanpaolo S.p.A. (covenants related to the Basket Bond 2020-2027 issued for euro 8.000.000), also the agreement with Unicredit S.p.A. and CDP of new financial ratios as per covenant for the bond has been
met successfully.

Specifically, the new ratios, equal to those existing with the Intesa Sanpaolo Basket Bond, are:
– Net Financial Position/Shareholder’s equity: less than 0.50 for 2023, 0.45 for the following years;
– EBIT/Interest: greater than 1.5 for 2023, 2.5 for the following years;
– Net Financial Position/EBIT: less than 6.5 for 2023, 3.5 for the following years.

Therefore, the 2023 consolidated financial statements will be prepared with reference to the aforementioned ratios.
